3. Client Responsibilities

4. Fees and Payment

Our fee structure includes:

Payment terms are typically 30 days from invoice date unless otherwise agreed. Late payment may incur additional charges.

5. Confidentiality

Both parties agree to maintain strict confidentiality regarding all business information, client data, and proprietary knowledge shared during the course of our professional relationship. This obligation continues beyond the termination of our services.

6. Limitation of Liability

Savant Capital's liability for any claims arising from our services is limited to the total amount paid by the client for the specific services in question. We are not liable for indirect, consequential, or punitive damages.

7. Professional Standards

We maintain the highest professional standards and comply with all applicable regulations in Canada. Our services are provided with due care and skill, but we cannot guarantee specific outcomes or results.

8. Intellectual Property

All intellectual property rights in our methodologies, processes, and proprietary materials remain with Savant Capital. Clients retain rights to their own business information and data.

9. Termination

Either party may terminate our services with written notice. Upon termination:

• All outstanding fees become immediately due
• Confidentiality obligations continue
• Client data will be returned or securely destroyed
• Work in progress will be completed or transferred

10. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, government actions, war, terrorism, or natural disasters.

11. Governing Law

These terms and conditions are governed by the laws of Quebec, Canada. Any disputes shall be subject to the exclusive jurisdiction of the courts of Quebec, Canada.

12. Amendments

We reserve the right to modify these terms and conditions at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of the modified terms.

13. Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
